The materials which you will access regard or are related to the initial public offering on the territory of Poland (\u201cPublic Offering\u201c) of 15,000,000 series B ordinary bearer shares of the Company Celon Pharma S.A. with its registered seat in Kie\u0142pin (\u201cCompany\u201c) with a nominal value of 0.1 each (\u201cOffered Shares\u201c) and the application for admission to trading at the regulated market of the Warsaw Stock Exchange of.: (i) 15,000,000 series A2 ordinary bearer shares of the Company, (ii) not more than 15,000,000 series B (iii) ordinary bearer shares of the Company and not more than 15,000,000 allotment certificates to those shares ( \u201cAdmission\u201c).<\/p>\n

On 29 august 2016 The Polish Financial Supervision Authority approved the prospectus of the Company (\u201cProspectus\u201c), prepared in connection with the Public Offering and the Admission.<\/p>\n

The Prospectus along with possible annexes and messages updating the Prospectus, and (after its preparation and publication) the information on the final number and price of the Offered Shares available in the Offering was published and will be available in electronic form on the Company\u2019s website (www.celonpharma.com) and the website of offerer \u2013 Mercurius Dom Maklerski Sp. z o.o. during the period of its validity. (www.mercuriusdm.pl).<\/p>\n

The Prospectus is the only legally binding document regarding the offering which contains, for the purpose of the Public Offering and Admission, information about the Company, the Company shares (including Offered Shares) and the Public Offering.<\/p>\n
