{"id":42395,"date":"2025-10-02T13:58:09","date_gmt":"2025-10-02T11:58:09","guid":{"rendered":"https:\/\/celonpharma.com\/?p=42395"},"modified":"2025-10-02T13:58:09","modified_gmt":"2025-10-02T11:58:09","slug":"current-report-no-14-2025-agreement-with-the-european-bank-for-reconstruction-and-development-on-the-principal-terms-of-financing-for-a-subsidiary-in-connection-with-project-implementation","status":"publish","type":"post","link":"https:\/\/celonpharma.com\/en\/current-report-no-14-2025-agreement-with-the-european-bank-for-reconstruction-and-development-on-the-principal-terms-of-financing-for-a-subsidiary-in-connection-with-project-implementation\/","title":{"rendered":"Current Report No. 14\/2025 &#8211; Agreement with the European Bank for Reconstruction and Development on the principal terms of financing for a subsidiary in connection with project implementation"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\"><br><strong>Subject:<\/strong> Agreement with the European Bank for Reconstruction and Development on the principal terms of financing for a subsidiary in connection with project implementation<br><strong>Legal basis:<\/strong> Article 17(1) of Regulation (EU) No. 596\/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (<em>Market Abuse Regulation \u2013 MAR<\/em>) \u2013 inside information<br><strong>Date and time of disclosure:<\/strong> 1 August 2025, 15:16 CET<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Report content:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Management Board of <strong>Celon Pharma S.A.<\/strong> (the <em>\u201cIssuer\u201d<\/em>, the <em>\u201cCompany\u201d<\/em>) hereby announces that on 1 August 2025 it received from the <strong>European Bank for Reconstruction and Development<\/strong> (<em>\u201cEBRD\u201d<\/em>) an indicative term sheet setting out the preliminary conditions for the provision of financing to <strong>Celon Pharma Slovakia s.r.o.<\/strong> (a wholly owned subsidiary of the Issuer) in the form of a loan facility of up to <strong>EUR 23 million<\/strong> (the <em>\u201cFinancing\u201d<\/em>).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Financing is intended to support the adaptation, equipping and commencement of operations of a manufacturing facility located in the \u017dilina region of Slovakia, dedicated to the production of a type II diabetes medicinal product \u2013 the active pharmaceutical ingredient <strong>semaglutide GLP-1<\/strong> (to be marketed under the trade name <em>Reduzek<\/em>).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In accordance with the indicative terms, the Financing will comprise two tranches of up to <strong>EUR 18 million<\/strong> and <strong>EUR 5 million<\/strong>, respectively. Disbursement of the second tranche shall be subject to EBRD\u2019s separate decision. The loan will bear interest at a variable rate. The repayment of the first tranche has been scheduled for completion in the first half of 2031.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Issuer emphasizes that the indicative terms referred to herein are of a non-binding nature and do not constitute a commitment by EBRD to provide the Financing. The availability of the Financing will be conditional upon, inter alia, the execution of a definitive loan agreement with EBRD and the fulfilment of conditions precedent, including the establishment of appropriate security.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Issuer will disclose, by way of a separate current report, the execution of the loan agreement with EBRD.
