(the \u201cCompany\u201d, the \u201cIssuer\u201d) announces that on 3 October 2025 the Issuer\u2019s subsidiary \u2013 Celon Pharma Slovakia s.r.o. (\u201cCelon Pharma Slovakia\u201d, the \u201cInvestor\u201d) \u2013 concluded an agreement with Polonez Plus sp. z o.o. (the \u201cContractor\u201d).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The subject of the agreement is the performance by the Contractor of the function of general contractor for the investment project consisting in the construction of the Celon Pharma Slovakia manufacturing facility located in the business park in \u017dilina, Slovakia (the \u201cAgreement\u201d). The Investor has obtained rights to use the property for construction purposes and to carry out the works covered by the Agreement from <strong>CTPark \u017dilina Airport spol. s r.o.<\/strong>, the owner of the property.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The conclusion of the Agreement constitutes a significant stage in the implementation of the Issuer Group\u2019s development strategy, aimed at the development of the Company\u2019s product portfolio, including the provision of adequate manufacturing capacity for modern therapies based on GLP-1 analogues, as well as the geographical diversification of production infrastructure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Under the Agreement, the Contractor will be responsible for procuring and delivering equipment and materials for the Investor and performing preparatory works in accordance with the execution design. Following the Investor\u2019s receipt of a final building permit, the Contractor will also be responsible for carrying out the construction works and installing the delivered equipment and materials.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Completion of the works covered by the building permit is expected within <strong>12 months<\/strong> from the commencement of construction works.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The <strong>total net value of the Agreement<\/strong> has been set in euros and amounts to the equivalent of <strong>PLN 63.3 million<\/strong>, calculated on the basis of the average EUR\/PLN exchange rate announced by the National Bank of Poland on the date of signing the Agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Agreement provides for contractual penalties in favour of Celon Pharma Slovakia, payable, inter alia, in the event of delays in performance or in the removal of defects. It also provides for a contractual penalty of <strong>5% of the net Agreement value<\/strong> in the event of termination of the Agreement by either party. The total amount of contractual penalties under the Agreement, both for the Investor and the Contractor, may not exceed <strong>10% of the net Agreement value<\/strong>.
