The Management Board of Celon Pharma S.A. (the “Company”, the “Issuer”) hereby informs that on October 10, 2025, the District Court for the Capital City of Warsaw in Warsaw, 14th Commercial Division of the National Court Register, registered an amendment to the Company’s Articles of Association made pursuant to Resolution No. 16 of the Ordinary General Meeting of the Company held on June 26, 2025, under which §17(4)(i) of the Company’s Articles of Association, previously reading as follows:

“In addition to the duties provided for under the mandatory provisions of the Commercial Companies Code, the responsibilities of the Supervisory Board shall include adopting resolutions in the following matters:
[…]
i) selection of the auditor as of January 1, 2016,”

has been amended to read as follows:

“In addition to the duties provided for under the mandatory provisions of the Commercial Companies Code, the responsibilities of the Supervisory Board shall include adopting resolutions in the following matters:
[…]
i) selection of the audit firm to conduct the audit and review of the Company’s financial statements, to provide assurance services regarding the assessment of the remuneration report prepared in accordance with the applicable provisions of the Act of July 29, 2005 on Public Offering and the Conditions Governing the Introduction of Financial Instruments to an Organized Trading System and on Public Companies, and to provide assurance services on sustainability reporting.”

The Issuer attaches the consolidated text of the Company’s Articles of Association, as established by the Supervisory Board pursuant to the authorization contained in the aforementioned Resolution No. 16 of the Ordinary General Meeting, incorporating the above amendment.
