The Management Board of Celon Pharma S.A. (the “Issuer”, the “Company”) hereby announces that on 1 August 2025 it received from the European Bank for Reconstruction and Development (“EBRD”) an indicative term sheet setting out the preliminary conditions for the provision of financing to Celon Pharma Slovakia s.r.o. (a wholly owned subsidiary of the Issuer) in the form of a loan facility of up to EUR 23 million (the “Financing”).

The Financing is intended to support the adaptation, equipping and commencement of operations of a manufacturing facility located in the Žilina region of Slovakia, dedicated to the production of a type II diabetes medicinal product – the active pharmaceutical ingredient semaglutide GLP-1 (to be marketed under the trade name Reduzek).

In accordance with the indicative terms, the Financing will comprise two tranches of up to EUR 18 million and EUR 5 million, respectively. Disbursement of the second tranche shall be subject to EBRD’s separate decision. The loan will bear interest at a variable rate. The repayment of the first tranche has been scheduled for completion in the first half of 2031.

The Issuer emphasizes that the indicative terms referred to herein are of a non-binding nature and do not constitute a commitment by EBRD to provide the Financing. The availability of the Financing will be conditional upon, inter alia, the execution of a definitive loan agreement with EBRD and the fulfilment of conditions precedent, including the establishment of appropriate security.

The Issuer will disclose, by way of a separate current report, the execution of the loan agreement with EBRD. That report will also include detailed information on the project subject to financing.
